Kimberlee Gee is an attorney licensed in Maryland and the District of Columbia. Ms. Gee works as an attorney, publishes articles, serves as a presenter and panelist and engages in pro bono advocacy work on various matters. The term “KGL” “Company”, “we” “us” or “our” is used to represent the company Kimberlee Gee, LLC., doing business as, Kimberlee Gee Legal, separate and apart from her other professional and advocacy interests. The terms “we,” “our” and “us” are used to refer to KGL, are employed out of convenience, and are not intended to suggest a partnership or association with other attorneys. To the extent a potential client contacts Ms. Gee seeking legal services in jurisdictions in which she is not permitted by these means or other means to practice law, Ms. Gee shall decline to provide services. Due to the nature of internet access, some indiviiduals may access this Site in jurisiditions where Ms. Gee is not licensed to practice law. We reserve the right, but not the obligation, to: (1) monitor the Site for violations fo these Terms of Use; (2) take appropraite legal action against anyone who, in our sole discretion, vioaltes the law or these Legal Terms, including without limitation, reproting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availabiity or disable (to the extent technologically feasible) any of your Contributions or any protion thereof; 4) in our sole discretion and wihtout limitation, notice or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Site in a manner designed to protect our rights and property and to facilitiate the proper functioning of the Site.  

Indemnification

Termination/Access Restriction

KGL reserves the right, in its sole discretion, to terminate your access to the Site and the related Services or any portion thereof at any time, without notice. 

Limitation of Liability

To the maximum extent permitted by applicable law, you agree that under no circumstances shall KGL be liable for direct, indirect, incidental, consequential, special, punitive, exemplary, or any other damages whatsoever arising out of your use or performance of this Site, the delay or inability to use the site or related Services, the provision of or failure to provide services or for any information or Services obtained through the site, or otherwise arising out of the use of the site regardless of our negligence, gross negligence, failure of an essential purpose and whether such liability arises in negligence, contract, tort, or any other theory of legal liability. Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excepted below) will be finally and exclusively resolved by mandatory, binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”), and where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both of which are available at the American Arbitration Association (AAA) website.  YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.  Any such claim, cause of action or proceeding shall be arbitrated on an individual basis and without resort to any form of class action.  Except where otherwise required by the applicable AAA rules or applicable law, the arbitration shall be conducted in Maryland. The Federal Arbitration Act and no state law concerning arbitration shall apply. Any cause of action or claim you may have with respect to the Site must be commenced within one year after such claim or cause of action arises. The arbitration award shall be final and binding. Any action, or any claim, cause of action or proceeding not subject to arbitration as set forth in this section, shall be filed and adjudicated in a state or Federal Court in Prince George’s County, Maryland and all parties waive all defenses of lack of personal jurisdiction of those Courts.  Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms. 

Exceptions to Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (1) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use, and (c) any claim for injunctive relief.  If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction below, and the Parties agree to submit to the personal jurisdiction of that court.

Choice of Law and Jurisdiction

To the maximum extent permitted by law, this agreement is governed by the laws of the State of Maryland, without regard to rules relating to conflict of laws or forum non convenions

Effect of Headings

The subject headings of the paragraphs and subparagraphs of this Agreement are included for convenience only and shall not affect the construction or interpretation of any of its provisions.

Corrections

There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability and various other information.  We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Site or in respect to the Services we render constitute the entire agreement and understanding between you and us.  Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision.  These Legal Terms operate to the fullest extent permissible by Law.  We shall not be responsible or liable for any loss, damage, delay or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions.  There is no joint venture, partnership, employment or agency relationship created between you and us a result of these Legal Terms or use of the Site or related services offered by us.  You agree that these Legal Terms will not be construed against us by virtue of having drafted them.  You hereby waive any and all defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the Parties hereto to execute these Legal Terms.
